Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Natural Products International("we," "us") governing your access to and use of our website, laboratory analysis services, and online portal (collectively, the "Services"). By creating an account, submitting a sample, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. The Services

We provide chemical and biological analysis for research and product-development purposes, together with an online portal for submitting samples and accessing reports. The Services are non-clinical and are not intended for diagnostic, therapeutic, or patient-care use. We may modify, suspend, or discontinue any part of the Services at any time.

2. Not professional, medical, or clinical advice

Information, analyses, and results are provided for general informational and research purposes only. They are not medical, clinical, diagnostic, legal, or other professional advice, are not for use in diagnosing, treating, or preventing any disease, and must not be relied upon as a substitute for a qualified professional. Results pertain only to the specific sample submitted and the methods used.

3. Accounts & eligibility

You must be at least 18 and provide accurate information. You are responsible for your account credentials and for all activity under your account.

4. Acceptable use; samples

  • You represent that any sample you submit is lawful to possess, handle, and ship, and that you have the right to submit it.
  • You will not submit controlled substances, hazardous or biohazardous materials, or human clinical/diagnostic specimens, or use the Services for any unlawful, infringing, or prohibited purpose.
  • You will not misuse, disrupt, or attempt to gain unauthorized access to the Services.

5. Fees & payment

Fees are as quoted or listed for the applicable Service. Unless otherwise agreed in writing, payment is due before analysis begins. Payments are processed by a third-party payment processor; by paying you also agree to that processor's terms. You are responsible for all applicable taxes. We may refuse or discontinue Services for non-payment.

6. Refunds & cancellation

You may cancel a request before analysis begins for a full refund. Once analysis has begun, fees are non-refundable except where required by applicable law. If we are unable to perform a paid Service, your sole remedy is a refund of amounts paid for that Service.

7. Subscriptions & auto-renewal

If you purchase a recurring plan, it automatically renewsfor successive periods at the then-current price until you cancel. You may cancel at any time from your account or by contacting us; cancellation takes effect at the end of the current billing period. Where required (e.g., California's Automatic Renewal Law), we will obtain your affirmative consent to the renewal terms and provide renewal notices.

8. No guarantee of outcome or turnaround

We do not guarantee any specific result, finding, or turnaround time.

9. Use of AI tools

We may use AI and automated tools to assist with tasks such as literature review, data interpretation, and report drafting. Such tools support — and do not replace — review by our personnel. AI-assisted outputs may contain errors and are subject to these Terms' disclaimers.

10. Intellectual property

The website and its content are owned by us or our licensors. You retain rights to your sample data and the reports we deliver to you; we retain rights to our methods, software, and underlying know-how.

11. Third-party services

The Services rely on third-party providers (hosting, database, email, payments). Your use of those features may be subject to the providers' terms, and we are not responsible for third-party services.

12. No warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, and non-infringement, to the maximum extent permitted by law.

13. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, or goodwill. Our total aggregate liability for any claim will not exceed the greater of the amount you paid us for the Service giving rise to the claim or US $100. Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for fraud, willful misconduct, or gross negligence), and some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Natural Products International and its operators from claims, damages, and expenses arising out of your use of the Services or violation of these Terms, except to the extent caused by our own misconduct.

15. Termination

You may stop using the Services at any time. We may suspend or terminate access for violation of these Terms or to protect the Services. Sections intended to survive (fees owed, IP, disclaimers, limitation of liability, indemnity, dispute resolution) survive termination.

16. Dispute resolution; arbitration & class waiver

Please read this section carefully — it affects your legal rights. Except for claims that qualify for small-claims court, you and we agree to resolve any dispute relating to the Services by binding individual arbitration on an individual basis, and waive any right to a jury trial or to participate in a class action. You may opt out of this arbitration agreement by emailing info@npi-lab.com within 30 days of first accepting these Terms. This section does not apply where prohibited by law.

17. Governing law & venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Subject to Section 16, the exclusive venue for any dispute is the state and federal courts located in California.

18. Changes to these Terms

We may update these Terms. For material changes we will provide reasonable notice (e.g., by email or a site notice). Continued use after changes take effect constitutes acceptance.

19. General

These Terms are the entire agreement between you and us regarding the Services. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them. Our failure to enforce a provision is not a waiver. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure). You consent to receive communications and notices electronically.
